Alumni Association Constitution

Article 1: Name and Purpose

Section 1. The name of this organization shall be the Alumni Association of Columbia Southern University

Section 2. The purpose of the Alumni Association and its Board of Directors shall be to strive for the advancement of Columbia Southern University, to assist the work of the University management through mutually beneficial relationships with alumni, and to promote the educational, community and business lifestyles with which the University is identified.

Section 3. The mission of the Columbia Southern University Alumni Association shall be to advance Columbia Southern University through building loyalty, fellowship and commitment among its members.


Article II: Membership

Section 1. Regular membership. Regular members shall be graduates of Columbia Southern University.

Section 2. Associate Membership

Part a. Present and former faculty of the University and spouses of regular members shall be associate members of the association.

Part b. Parents of present and former students may have the privilege of becoming associate members by submitting a request in writing to the Director of Alumni.

Part c. Associate members shall have all the privileges of regular Membership except those of voting and holding office in the Association.


Article III: Board of Directors

Section 1. Membership. There shall be a Board of Directors (hereafter referred to as The Board) consisting of members selected from the regular membership.

Section 2. Nomination. Nomination is open to any regular member of the Association.

Section 3. Terms. Board members shall be elected for a two-year term. Board members shall serve no more than two consecutive terms.

Section 4. Organization and Meetings. The Board shall meet annually. Special conference call meetings may be called by the either the President or Alumni Director.

Section 5. Quorum. A quorum for any meeting of the Board shall consist of a simple majority (one more than half) of the membership.

Section 6. Responsibilities. It shall be the duty of the Board to decide all matters of business that may arise between the meetings of the Association and to make a report of such action to the Association annually. The Board will administer any and all programs and activities deemed advisable to further the purpose of this Association.

Section 7. Committees. The Board is responsible for organizing the various committees required to promote the activities of this Association.


Article IV: Officers

Section 1. Election. The officers of the Alumni Association shall be the President, President-elect, Secretary, Treasurer.

Section 2. Terms of Office. The terms of the officers shall be for one year except President-elect will be two years. The intent is that he/she will serve the second year as President.

Section 3. Duties.

Part a. The President shall be the presiding officer at all meetings of the Alumni Association and of the Board.

Part b. The President-elect shall assume the responsibilities of leadership in the absence of the President.

Part c. The Secretary shall be responsible for recording the minutes and records of all meetings of the Alumni Association and Board of Directors.

Part d. The Treasurer shall be responsible for handling of all monies and keep accurate records of all financial transactions.

Article V: Association Meetings

Section 1. Annual Meeting. There shall be an annual meeting of the Association held in conjunction with a major school event such as graduation. Notice of such meeting will be mailed out with the announcement of the special event.

Section 2. Quorum. A quorum for business at Association meetings shall consist of those members present at the time the meeting is called to order.


Article VII: Alumni Chapter Bylaws

Part 1 Meetings The Executive Committee (President, President-Elect, Secretary and Treasurer) shall meet on the _________ day of each month, unless otherwise decided by the members. The Chapter shall host at least two (2) meetings per year, open to the entire alumni population in the area.

Part 2 Elections At the April meeting of the Executive Committee, the Committee will appoint a three member Nominating Committee whose duty shall be to nominate officers. A chairperson will be appointed. During the month of May the Nominating Committee will interview and search for a slate of potential candidates for President, President-Elect, Secretary and Treasurer. The President- elect shall assume the duties of President unless unseen circumstances arise. The slate of officers up for election shall be presented for election to the members of the chapter during the month of June. This may be done by mailed ballot or at an announced membership meeting. Write in candidates may be nominated by the membership. Individuals receiving the majority of votes cast for each office shall be declared elected. All officers shall hold office for a term of one (1) year, beginning on the first day of July.

Part 3 Responsibilities of Chapter Officers and Succession Plan President The President is the highest officer in the chapter and coordinator of all its activities. The President’s leadership prowess and guidance should be the model and inspiration for other members in achieving the objectives of the chapter. The President has the following responsibilities:

  • Preside at all meetings of the chapter.
  • Preside at monthly meetings of the Executive Committee.
  • Serve as ex-officio member of all committees.
  • Carry out the annual plan.
  • Make appointments to all committees.
  • Work to ensure chapter and committee goals are accomplished yearly.
  • Submit chapter report to CSU alumni Association on or before July 1 each year.
  • Represent CSU in the chapter area.
  • Attend annual Alumni Association meeting
  • Perform such duties that are inherent of the office of President and meet the various ongoing needs of the chapter.

President-Elect

  • Perform the duties of the President in the absence or disability of the President.
  • Attend monthly meetings of the Executive Committee.
  • Train and prepare for the office of President.
  • Help develop the chapter annual plan for the coming year.
  • Oversee and ensure the proper organization and work of the Program , Phone /Email and other committees.
  • Recruit committee chairs for the upcoming year.
  • Assist the President in chapter activities.
  • Assume the office of President at the appointed time.
  • Attend annual Alumni Association meeting
  • Perform other duties as needed.

Secretary

  • Keep accurate records of the chapter.
  • Record minutes at all chapter and Executive Committee meetings.
  • Submit a report to Alumni Association on all chapter meetings, regularly.
  • Notify Executive Committee of time place and date of all monthly meetings.
  • Attend Executive Committee meetings monthly.
  • Work with Executive Committee to complete and file the annual year -end chapter report to the Alumni Association due July 1 each year.
  • Perform other duties as needed.

Treasurer

  • Maintain chapter checking accounts and other funds.
  • Record all chapter financial transactions.
  • Pay all financial obligations of the chapter in a timely manner.
  • Submit monthly and an annual financial report to the Alumni Association in conjunction with the chapter’s year-end report due July 1 each year.
  • Perform other duties as needed.

Part 4 Responsibilities of Committee Chairpersons

Program Chairperson

  • Direct the efforts of the Programming Committee.
  • Ensure the success of programming objectives established by the Executive Committee.
  • Attend monthly Executive Committee meetings.
  • Coordinate with the Phone/ Email Committee the calling of all active members prior to each chapter event.
  • Perform other duties as deemed necessary for the chapter.

Phone /Email Chairperson

  • Direct the efforts of the Phone Committee
  • Ensure maximum participation of active chapter members through regular phone/ email communication with members.
  • Attend monthly Executive Committee meetings.
  • Coordinate phone efforts with Program Chairperson.
  • Perform other duties as deemed necessary for the chapter.

Additional Committees

  • Perform tasks to carry out objectives of the specific committee as outlined by Executive Committee and/or President.

Article VIII: Amendments

Section 1. Amendments to the Constitution may be made by mail ballot prior to the annual
